Terms of Service

These terms apply to all services provided by Booked. Engaging Booked — by paying a deposit, confirming a proposal, or requesting work — constitutes acceptance of these terms. Read them before I start.

The Parties

Service provider: Luca Bold, trading as Booked. ("Booked"), a sole proprietor operating in South Africa.

Client: The individual or entity engaging Booked for services, as identified in the proposal or invoice.

These terms govern all engagements between the parties unless a separate written agreement supersedes them.

Services

Booked provides digital infrastructure and discoverability services for fashion creatives. Services include but are not limited to:

The specific scope, deliverables, and price for each engagement are confirmed in writing via a proposal or invoice prior to work commencing. No work begins without a confirmed scope and deposit receipt.

Payment Terms

Project work (Structure, landing page, portfolio refresh):

All prices are quoted in South African Rand (ZAR) unless otherwise stated. International clients are invoiced in EUR or USD at the equivalent rate confirmed at time of proposal. Late payments beyond 14 days attract interest at the maximum rate permissible under South African law.

Revisions

All project services include a defined number of revision rounds:

A revision is defined as consolidated feedback on a delivered draft, submitted in a single message or document. Feedback submitted in multiple rounds after a revision has been actioned is treated as an additional revision. Revisions that expand the original scope are treated as new work and quoted separately.

Intellectual Property

Transferred upon final payment: All copy, written content, creative direction, website build, source files, and custom assets produced specifically for the client's project. Full IP transfer occurs when the final payment is received. Until that point, Booked retains all rights to all work produced.

Retained by Booked permanently:

Client-supplied assets (photography, logos, written content) remain the property of the client. The client warrants that all supplied assets are owned by or licenced to them, and indemnifies Booked against any third-party claims arising from their use.

Kill Fee and Cancellation

If a project is cancelled by the client after work has commenced:

If Booked cancels a project due to circumstances within its control, the client receives a full refund of all amounts paid. If a project is paused at the client's request for more than 30 days, Booked reserves the right to treat it as cancelled and apply the kill fee structure above.

Deposits are non-refundable in all circumstances except where Booked cancels a project due to circumstances within its control, in which case the full deposit is returned.

Client Responsibilities

The client is responsible for:

Delays caused by late asset delivery or slow feedback do not extend Booked's timeline obligation and may result in the project slot being rescheduled. Rescheduling to a later slot may attract a Priority or Express premium if the original timeline is no longer achievable at standard rate.

Deliverables and Outcomes

Booked builds digital infrastructure — websites, audit reports, written profiles, and positioning frameworks. The deliverables are clearly defined in each proposal.

Booked does not guarantee booking outcomes, follower growth, revenue outcomes, or search ranking positions. Whether a creative gets hired depends on their work, their relationships, and market conditions — not the infrastructure alone. What Booked guarantees is the quality and scope of the deliverable as defined in the proposal.

Audit reports reflect the state of a creative's digital presence at the time of assessment. Results are not guaranteed to remain accurate beyond 90 days as platforms and algorithms change.

Confidentiality

Both parties agree to treat the other's non-public information with appropriate discretion. Booked will not share client career details, creative briefs, or business information with third parties without consent — except where required to deliver the service (e.g., domain registrars, platform integrations).

The client agrees not to share Booked's proprietary audit methodologies, scoring frameworks, or internal documents.

Limitation of Liability

Booked's liability in connection with any service is limited to the total amount paid by the client for that specific service. Booked is not liable for indirect, consequential, or incidental losses including lost revenue, lost bookings, reputational harm, or data loss caused by third-party platforms.

Booked is not liable for failures caused by third-party services (hosting providers, payment processors, social platforms) outside Booked's control.

Force Majeure

Booked will not be held liable for delays or failure to deliver caused by circumstances beyond reasonable control, including illness, natural disaster, platform outage, internet failure, or disruption to third-party services integral to delivery. In such cases, Booked will communicate promptly and reschedule delivery as soon as reasonably possible.

Governing Law and Disputes

These terms are governed by the laws of the Republic of South Africa. Any dispute that cannot be resolved between the parties directly will be referred to mediation before litigation. Either party may initiate mediation by written notice. The parties have 30 days from that notice to agree on a mediator before either may proceed to litigation.

For clients based in the European Union, mandatory consumer protections under applicable EU law are not affected by this clause.

Modifications

Booked may update these terms as the business evolves. Active clients will be notified of material changes. Continued use of services after notification constitutes acceptance. The version in effect at the time of a project proposal governs that project.
